Licence Cancellation Is a Formal Process with Legal Obligations
Closing a UAE business is not simply a matter of stopping operations. The formal cancellation of a UAE trade licence involves a specific sequence of steps that must be completed in order, and failing to follow this sequence correctly results in outstanding obligations, penalties, and reputational complications for the business owner. Understanding the cancellation process is as important as understanding company formation in UAE itself.
Prerequisites for Cancellation
- All employee visas must be cancelled before the company licence can be cancelled
- The investor visa must be cancelled last, after all employee visas are cleared
- All outstanding licence fees, renewal fees, and administrative penalties must be settled
- The establishment card must be surrendered as part of the cancellation process
- Corporate Tax deregistration must be completed with the Federal Tax Authority
- VAT deregistration must be completed if the company was registered for VAT
The IFZA Cancellation Process
For IFZA Free Zone License holders, cancellation is initiated through the IFZA portal. The process requires submission of a cancellation request, confirmation that all visas are cancelled, settlement of all outstanding fees, and formal issuance of a cancellation certificate by IFZA. The cancellation certificate confirms that the entity's legal obligations to IFZA have been discharged.
Post-Cancellation Obligations
Even after a Company Formation in IFZA entity is formally cancelled, the obligation to maintain financial records for the legally required retention period continues. UAE Corporate Tax law requires records to be kept for seven years from the end of the relevant tax period.
